The committees enable deeper focus on critical areas such as financial stewardship, risk management, compliance, leadership succession, and strategic planning.

The Audit & Risk Compliance Committee supports the Board in overseeing financial reporting, internal controls, risk management and regulatory compliance.

  • Reviews financial statements, audit findings, and key accounting policies.
  • Monitors internal control environment and recommends enhancements.
  • Oversees enterprise risk management and mitigation frameworks.
  • Ensures compliance with regulatory, legal, and corporate governance requirements.

The Nomination & Governance Committee focuses on Board composition, succession planning, and the continuous improvement of governance standards.

  • Recommends appointments and reappointments to the Board and committees.
  • Oversees succession planning for Board and key leadership roles.
  • Reviews Board performance, skills mix and independence.
  • Develops and updates governance policies, charters, and codes of conduct.

Finance, Procurement & Strategy Committee

Driving long-term value through disciplined finance and strategy.

The Finance, Procurement & Strategy Committee supports the Board in capital allocation, resource optimisation, and strategic direction.

  • Reviews budgets, financial performance and capital expenditure plans.
  • Provides oversight over major investments, projects and partnerships.
  • Monitors procurement practices for fairness, value and compliance.
  • Reviews and challenges strategic plans and long-term business scenarios.
